These Terms of Service and any dispute arising from or relating to the use of the GreenPath Enterprises LLC website or the provision of GreenPath services will be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.GreenPath may provide services in Virginia, Maryland, and other surrounding service areas. Nothing in these Terms is intended to waive or limit any rights or protections that cannot lawfully be waived under the laws applicable to a particular client, property, or transaction. If a separate Residential, Commercial, Specialty, or other written Service Agreement contains a valid governing-law or dispute-resolution provision that differs from these general Terms, the applicable written agreement will govern with respect to the services covered by that agreement. If any provision of these Terms is determined by a court or other authority with appropriate jurisdiction to be invalid, unlawful, or unenforceable, that provision will be limited or severed to the extent necessary, and the remaining provisions will continue in effect to the fullest extent permitted by law.Nothing in these Terms is intended to exclude, restrict, or waive rights or remedies that cannot legally be excluded, restricted, or waived under applicable law.Because this is one of the more legal-sensitive sections, I’d keep the language conservative like this rather than adding an aggressive “all disputes must be brought exclusively in Virginia” clause without having an attorney review it. Virginia law recognizes contractual choice-of-law provisions in certain contexts, while also preserving limitations that can apply to consumer contracts. law.lis.virginia.govOnce the entire Terms page is assembled, I’d recommend having a Virginia business attorney give the final version a legal review before publication.
